These Terms and Conditions govern your use of the Meridian Counsel website and, where applicable, your engagement of our legal services. By accessing this website or instructing us to act on your behalf, you agree to be bound by these terms.
1. Definitions
In these Terms and Conditions:
- "Firm", "We", "Us", "Our" refers to Meridian Counsel, a legal practice based at 22 Jalan Raja Chulan, 50200 Kuala Lumpur, Malaysia.
- "Client", "You", "Your" refers to the individual or entity accessing this website or engaging our services.
- "Services" refers to the legal services described on this website, including corporate formation, contract review and drafting, and dispute resolution advisory.
- "Engagement Letter" refers to the written agreement confirming the scope, fees, and terms of a specific instruction.
- "Content" refers to all text, documents, information, and materials published on this website.
2. Acceptance of Terms
By using this website or enquiring about our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into an agreement. If you are acting on behalf of a business, you confirm that you have authority to bind that entity.
3. Website Use
The content published on this website is provided for general informational purposes only. It does not constitute legal advice and should not be relied upon as such. Meridian Counsel accepts no liability for decisions made based on website content without formal engagement of our services.

4. Service Description
Meridian Counsel provides the following legal services:
- Corporate Formation and Structuring — Assistance with business entity registration under Malaysian law, including SSM registration, constitutional documents, and shareholder agreements. Fee: MYR 3,200.
- Contract Review and Drafting — Review of existing agreements or preparation of new commercial contracts, with a written summary of findings and two rounds of revision. Fee: MYR 1,800.
- Dispute Resolution Consultation — Advisory service for clients facing commercial or civil disputes, including a written memorandum of legal position and available options. Fee: MYR 1,500.
All fees are quoted in Malaysian Ringgit (MYR) and exclude any applicable government levies or disbursements, which will be disclosed in the Engagement Letter.
5. Engagement Process
A formal legal engagement commences only upon execution of a written Engagement Letter. Submission of an enquiry through our website does not create a solicitor-client relationship. We reserve the right to decline instructions at our discretion, including where a conflict of interest is identified.
6. Fees and Payment
Fees for standard services are fixed as set out above. For matters outside the standard scope, fees will be agreed in writing before any additional work begins. Invoices are payable within 14 days of issue unless otherwise stated in the Engagement Letter. Late payments may be subject to interest at a rate of 8% per annum.
Payments are accepted by bank transfer to the details provided in the invoice. We do not accept cash payments for amounts exceeding MYR 10,000, in accordance with applicable anti-money laundering requirements.
7. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide accurate and complete information relevant to your matter
- Respond to our communications within a reasonable timeframe
- Notify us promptly of any changes to the circumstances of your matter
- Comply with applicable laws in connection with your use of our services
8. Intellectual Property
All content on this website, including text, design, and structure, is the property of Meridian Counsel and is protected by applicable intellectual property laws. You may not reproduce, distribute, or adapt any content without our prior written consent.
Documents prepared for you as part of a formal engagement remain our intellectual property until all outstanding fees have been paid, at which point a non-exclusive licence to use those documents for the purposes stated in the Engagement Letter is granted to you.
9. Confidentiality
We are bound by professional obligations of confidentiality to all clients. Information you share with us in the context of a legal engagement will not be disclosed to third parties except as required by law, court order, or with your explicit consent.
10. Disclaimers
While we take care in the preparation of all legal work, the law changes over time and each client's circumstances are unique. Advice provided reflects the law as it stands at the time of the engagement and the facts as presented to us. We do not accept responsibility for outcomes arising from changes in law after advice has been given, or from information withheld by the client.
Website content is provided without warranty of any kind. We do not warrant that the website will be uninterrupted or free from errors.
11. Limitation of Liability
To the extent permitted by law, Meridian Counsel's aggregate liability in connection with any engagement is limited to the fees paid by you for the specific matter giving rise to the claim. We are not liable for indirect, consequential, or special losses. Nothing in these terms excludes liability for fraud or for death or personal injury caused by our negligence.
12. Termination
Either party may terminate an engagement by giving reasonable written notice. In the event of termination, you remain liable for fees in respect of work completed up to the date of termination. We may terminate an engagement immediately if you fail to pay invoices, provide misleading information, or ask us to act in a manner that would breach our professional obligations.
13. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising under them shall be subject to the exclusive jurisdiction of the courts of Malaysia. We encourage parties to seek resolution through discussion or mediation before resorting to litigation.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. The revised version will be published on this page with an updated effective date. Your continued use of the website following any update constitutes acceptance of the revised terms.
