How We Approach Every Engagement
Every engagement at Meridian Counsel follows the same foundational process: we begin by understanding what the client is working toward, then apply the relevant legal framework, communicate clearly throughout, and ensure the work is completed within the agreed scope and timeline.
Initial Discussion
We establish what you are trying to achieve and confirm whether and how we can assist.
Scope & Fee Agreement
Work is defined in writing, with fees agreed before commencement.
Legal Work
The engagement is carried out by a qualified lawyer, with updates at agreed intervals.
Delivery & Review
Work is delivered and we walk through it with you to ensure it is clear and complete.
Service 01
Corporate Formation & Structuring
We assist individuals and groups in establishing business entities under Malaysian law. This covers company registration with the Companies Commission (SSM), preparation of the memorandum and articles of association, shareholder agreements, and initial compliance documentation.
Guidance is provided on selecting the entity type most appropriate for your objectives — Sdn Bhd, LLP, or sole proprietorship — and all regulatory filings are handled on the client's behalf.
What Is Included
- Initial consultation on entity selection
- SSM registration and compliance filings
- Memorandum and articles of association
- Shareholder agreement preparation
- Initial compliance documentation
Service 02
Contract Review & Drafting
We review existing agreements or prepare new contracts tailored to the client's needs. Common engagements cover commercial leases, service agreements, partnership contracts, non-disclosure agreements, and employment terms.
Each document is reviewed for clarity of obligations, risk allocation, termination provisions, and compliance with applicable Malaysian statutes. A summary of key findings is provided for existing contracts. New drafts include two rounds of revision.
What Is Included
- Review of existing agreements
- Risk and obligation analysis
- Written summary of findings
- New contract drafting on request
- Two rounds of client-directed revision
Service 03
Dispute Resolution Consultation
An advisory service for clients who are facing or anticipating a commercial or civil dispute. We review the relevant documents and correspondence, assess the client's legal position, and outline the available options — negotiation, mediation, arbitration, or litigation.
A written advisory memorandum is provided, summarising the strengths and considerations of each path. This service is designed to help clients make thoughtful decisions about how to proceed, rather than committing to a course of action under pressure.
What Is Included
- Review of documents and correspondence
- Assessment of legal position
- Written advisory memorandum
- Outline of all available dispute paths
- 1–2 consultation sessions included
